By accessing or using GrepIQ ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and GrepIQ.

2. Description of Service

GrepIQ is an AI visibility platform that helps local businesses — including restaurants, cafes, spas, salons, and clinics — understand and improve how they appear in AI search engines such as ChatGPT, Google Gemini, and Perplexity.

The Service includes:

• AI Visibility Score calculation based on public business data
• Competitor analysis and benchmarking
• AI search engine testing across multiple platforms
• AI-optimized business profile generation
• QR code generation for review collection
• Private customer feedback collection
• Menu and service listing management with AI enrichment

3. Account Registration and Responsibilities

To use GrepIQ, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Keeping your account information accurate and up to date
• Notifying us immediately of any unauthorized use of your account

You must be at least 16 years of age to create an account. By registering, you represent that you have the legal authority to bind yourself or your business to these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or use automated tools to extract data from the Service
• Interfere with or disrupt the Service, servers, or networks
• Impersonate another person or business
• Upload or transmit malicious code, viruses, or harmful content
• Use the Service to generate fake reviews, spam, or misleading content
• Resell, sublicense, or redistribute access to the Service without authorization

5. Subscription and Billing

GrepIQ offers a free tier with limited features. Premium features are available through paid subscription plans. Pricing, payment terms, and billing details will be published on our website when payment processing is enabled.

We reserve the right to change pricing with at least 30 days' notice to existing subscribers. You may cancel your subscription at any time; access to premium features will continue until the end of the current billing period.

6. Intellectual Property

Your data: You retain ownership of all data you provide to GrepIQ, including business information, menu items, and uploaded content. You grant us a limited license to process this data solely to provide the Service.

Our platform: GrepIQ and its underlying technology, algorithms, design, branding, and documentation are our intellectual property. Generated content — including AI-optimized business profiles, enriched descriptions, AI Visibility Scores, and competitive analyses — is owned byGrepIQ but licensed to you for use in connection with your business.

You may not copy, modify, or distribute any part of the GrepIQ platform without our prior written consent.

7. Limitation of Liability

To the maximum extent permitted by applicable law, GrepIQ and its affiliates, officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total cumulative liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred US dollars (USD $100), whichever is greater.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or secure. AI Visibility Scores and competitor analyses are estimates based on publicly available data and AI model outputs — we do not guarantee any specific ranking, visibility, or business outcome.

9. Termination

Either party may terminate this agreement at any time. You may delete your account through the Settings page or by contacting us. We process account deletion requests within 30 days.

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or if continued access poses a security risk. Upon termination, your right to use the Service ceases immediately.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GrepIQ operates, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of the applicable jurisdiction.

11. Changes to Terms

We may modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice via email or in-app notification before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
